Service Agreement

The agreement, in plain English.

This is the written agreement that governs every Orbit subscription and every Ownership build. No fine print, no surprises. Last updated April 19, 2026.

1. Who this agreement is between

This is an agreement between you (the “Client”) and Orbit Creative Solutions LLC (“Orbit,” “we,” or “us”), a Minnesota limited liability company. By purchasing a subscription or an Ownership build, you agree to the terms below.

2. What we'll deliver

We'll build you a website based on the tier you selected (Starter, Business, Pro, or Ownership) and the scope documented in your project brief. The specific features, page count, and deliverables of each tier are listed on our pricing page at the time you subscribed, and are incorporated into this agreement by reference.

On subscription tiers, we also provide ongoing hosting on our infrastructure, security updates, backups, uptime monitoring, and the support level specified by your tier.

3. What's yours vs. ours

You own: your domain name; all content, images, copy, and branding you provide or that we create on your behalf (the “Client Materials”); all data collected through your site including lead submissions, analytics, and database records; and any trademarks or business identifiers tied to your business.

We own: the underlying source code of the website, our template library, our reusable components, and the infrastructure accounts (Vercel, Supabase, Resend, etc.) that the site runs on. We're granting you a license to use the site for the duration of your subscription; we're not transferring ownership of the code itself.

Clients on the Ownership tier, or clients who exercise the Buyout option (Section 7), receive a transfer of the source code repository for their specific site and a license to modify and host it however they wish. The underlying Orbit template library remains our property.

4. Payment

Setup fee (if applicable) is due when we kick off your project. We'll send a Stripe invoice; work begins when the setup fee is paid. Starter has no setup fee.

Subscription fee starts on the day your site goes live and recurs monthly via Stripe until you cancel. Prices are locked for twelve (12) months from the start of your subscription; we'll give you at least sixty (60) days' notice before any price change after that.

Usage overages: if your site's traffic or database usage exceeds the vendor free tiers we include by default, we'll pass through the additional vendor cost plus a 20% handling margin, itemized on your next invoice. We'll email you whenever your usage is trending toward an overage so there are no surprises.

Ownership fee is a one-time payment due when we deliver the code repository to you.

Invoices are in US dollars. Late payments (more than 15 days past due) may result in site suspension until resolved.

5. Subscription cancellation

You can cancel at any time, from the customer portal link in any of your Orbit invoices. No contracts, no cancellation fees, no notice period required.

When you cancel:

  • Your subscription runs through the end of the current billing period.
  • Your site stays live on our hosting for thirty (30) days after the billing period ends (grace window).
  • During the grace window, we'll export your content, lead data, images, and any database records on request.
  • After the grace window, your site is taken offline. We retain your data for sixty (60) additional days in case you want to restart; after that it's permanently deleted.
  • Your domain stays yours throughout. We'll remove our DNS records on request.

We won't issue refunds for partial months, but we also won't bill you again after you cancel.

6. Revisions, scope, and what's “included”

Each tier includes a defined amount of update time per month (Starter: ~30 min; Business: ~2 hours; Pro: unlimited small updates). “Small updates” means content edits, minor design tweaks, bug fixes, and configuration changes that we can complete in under an hour.

Work beyond your tier's included time — new pages, new integrations, significant redesigns — is quoted separately. We'll always give you a price before starting; you approve, we build. No surprise invoices.

7. Buyout option

At any time during your subscription, you can convert to Ownership by paying the then-current Ownership price (currently $5,000). When you buy out:

  • We transfer the full source code repository of your site to a GitHub account you designate.
  • We help you migrate hosting to your own Vercel (or equivalent) account, including DNS cutover — up to 8 hours of migration assistance included.
  • Your subscription ends on the migration date.
  • You can optionally add a Care Plan ($99/mo) for ongoing support after buyout.

8. If we wind down

If Orbit Creative Solutions LLC ever ceases operations, we commit to giving every active subscriber at least sixty (60) days' notice. During that window we'll transfer your site's source code repository to a GitHub account of your choice at no additional cost, and provide up to eight (8) hours of migration assistance per client. Your data, content, and domain remain yours regardless. No hostage situations.

9. Uptime and support

We target 99.5% monthly uptime, measured by the uptime of the Vercel platform your site runs on. We don't guarantee uptime when the outage is caused by a third-party service (Vercel itself, DNS registrars, Stripe, Resend, etc.), your own domain misconfiguration, or force majeure.

Support response times by tier: Starter (email, 2 business days); Business (email, 24 hours on business days); Pro (email or Slack, same business day).

10. Confidentiality

Anything you share with us that a reasonable business would treat as confidential (business plans, financial data, unreleased products, customer lists) we'll keep confidential, indefinitely. We may share anonymized aggregate data about our business (total clients, industries served) in marketing materials, but we won't identify you as a client without your permission.

11. Liability

Our total liability to you under this agreement, for any reason, is capped at the total amount you've paid us in the twelve (12) months before the claim arose. We're not liable for indirect, consequential, or incidental damages — lost profits, lost business opportunity, reputational harm — even if we've been told they were possible. Standard stuff, required to operate a services business insurably.

12. Content you provide

You represent that you have the right to use any content, images, logos, or trademarks you provide to us for your site. We won't knowingly publish content that infringes on a third party's rights, but we rely on you to confirm the content you give us is yours to use.

13. Governing law

This agreement is governed by the laws of the State of Minnesota. Any dispute that can't be resolved informally will be handled in the state or federal courts located in Hennepin County, Minnesota.

14. Changes to this agreement

If we ever need to update these terms, we'll email every active subscriber at least thirty (30) days before the change takes effect. You can cancel before the change applies if you don't agree.
